Terms of Use

These Terms govern your use of MediaKit, a Windows desktop media utility published by Individual Entrepreneur “YUGOV” (ИП “ЮГОВ”).

1. Acceptance of these Terms

These Terms of Use (“Terms”) are an agreement between you and Individual Entrepreneur “YUGOV” (ИП “ЮГОВ”) (“we,” “us,” or “our”) concerning MediaKit (the “App”). By installing, accessing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

Your acquisition and use of the App through the Microsoft Store may also be subject to Microsoft’s applicable terms, policies, and purchase conditions. Our Privacy Policy explains how information is handled in connection with the App.

2. What the App does

The App is a general-purpose media utility. It may obtain media metadata from supported third-party sources, download media where the user is authorized to do so, identify or accept chapter information, split downloaded or local media by chapters, export selected chapters, extract audio, and process media locally.

The list of supported sources, formats, and features may vary by App version and is described in the App or its Microsoft Store listing. The App is not designed or authorized to circumvent digital rights management, technological protection measures, authentication controls, paywalls, or other access restrictions.

3. Eligibility

You must have the legal capacity to accept these Terms. If you are under the age of majority where you live, you may use the App only with the involvement and permission of a parent or legal guardian. Purchases are also subject to the age and account requirements applied by Microsoft.

4. App license

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to install and use the App on devices you own or control, for personal or internal business purposes and in accordance with the Microsoft Store license terms that apply to your acquisition.

You may not sell, rent, sublicense, redistribute, or commercially exploit the App itself, or reverse engineer, decompile, or disassemble it, except where applicable law expressly permits those activities despite this restriction.

5. Open-source and third-party software

The App may include or use third-party components such as yt-dlp, FFmpeg, and other libraries. Those components remain subject to their respective licenses and notices. Nothing in these Terms limits rights granted directly under an applicable open-source license. Relevant notices are provided with the App or in its documentation.

6. Your responsibility for media and content

Only access or download media that you own, have permission to download, are otherwise legally entitled to access or download, or may download under applicable law.

You are responsible for determining whether your access, download, processing, storage, and use of media is lawful. You must comply with applicable copyright and other laws and with the terms of each third-party source you use.

The App’s technical ability to process a URL or file does not mean that the content may lawfully be downloaded or used. We do not grant you rights in third-party content, review the specific media you choose, or authorize infringement or breach of a third party’s terms.

7. Acceptable use

You must not use or attempt to use the App to:

  • infringe copyright, privacy, contractual, or other legal rights;
  • circumvent DRM, technological protection measures, authentication, paywalls, access controls, rate limits, or platform restrictions;
  • access, download, process, or distribute content in violation of applicable law or a third-party service’s terms;
  • interfere with the security, integrity, licensing, or operation of the App or another system;
  • use the App for an unlawful purpose or facilitate unlawful activity; or
  • misrepresent your identity, rights, or authorization in relation to any content.

8. Free features, Premium features, and Microsoft Store purchases

The App may offer free functionality and, if available, Premium subscriptions or one-time purchases through the Microsoft Store. The features, price, billing period, trial terms, renewal terms, and other material purchase details shown at the point of purchase apply to that transaction.

Microsoft processes Microsoft Store payments and provides the App with license or entitlement information. We do not receive your full payment-card details through the App. Cancellation, renewal, and refund requests are handled under the options, policies, and mandatory consumer rights applicable to the relevant Microsoft Store transaction. Nothing in these Terms limits rights that cannot lawfully be limited.

9. Advertising

A free version of the App may display advertising supplied by a third-party advertising provider. Advertising availability and the provider used may vary by release or market. Information about advertising-related data processing and available choices is provided in our Privacy Policy.

10. Third-party services and availability

The App’s interaction with supported third-party media sources depends on services, websites, interfaces, and content that we do not control. A third party may change or discontinue its service, restrict access, change its terms, or alter technical behavior at any time.

We do not guarantee continued compatibility with any particular source, URL, format, or item of content. Your relationship with a third-party service is governed by that service’s own terms and privacy practices.

11. Intellectual property

The App and its original design, code, branding, and documentation are owned by us or our licensors and are protected by applicable intellectual-property laws. Third-party software and content remain the property of their respective owners. These Terms do not transfer ownership of the App or any third-party content to you.

12. Disclaimer of warranties

To the maximum extent permitted by applicable law, the App is provided “as is” and “as available.” We do not promise that it will be uninterrupted, error-free, secure, compatible with every Windows configuration or third-party source, or suitable for every purpose.

Applicable law may provide warranties or consumer rights that cannot be excluded or limited. Nothing in these Terms excludes or limits those rights.

13. Limitation of liability

To the maximum extent permitted by applicable law, we will not be liable for indirect, incidental, special, consequential, or punitive loss arising from use of, or inability to use, the App, or from content or third-party services accessed through it.

Nothing in these Terms excludes or limits liability where exclusion or limitation is prohibited, including liability that cannot be limited under applicable consumer-protection law. Any further liability limitation is subject to the law that applies to the particular claim.

14. Termination

You may stop using the App at any time by uninstalling it. We may restrict access to App functionality where reasonably necessary to address a material breach of these Terms, protect users or systems, comply with law, or discontinue a service. Any action affecting an active paid entitlement remains subject to applicable Microsoft Store terms and mandatory consumer rights.

15. Changes to the App or these Terms

We may update the App and these Terms. When these Terms change, we will update the date at the top of this page and provide additional notice where required by law or reasonably practicable for a material change. Changes apply prospectively from their stated effective date. If you do not accept updated Terms, you should stop using the App.

16. Governing law and disputes

These Terms are governed by the laws of the Republic of Kazakhstan, without depriving a consumer of mandatory protections available under the law of the consumer’s country of residence. Courts or other dispute-resolution bodies having jurisdiction under applicable law may hear a dispute. Nothing in this section creates a mandatory arbitration agreement or waives a right that cannot lawfully be waived.

17. Miscellaneous

If a provision of these Terms is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law. A failure to enforce a provision is not a waiver. These Terms and the Privacy Policy form the agreement between you and us concerning the App, together with any mandatory Microsoft Store terms that apply to your acquisition.
